The Banks are authorized to accept and honor all representations from the <br />Debtors as to which checks, drafts, wires or ACH transfers should be honored or dishonored <br />consistent with any order(s) of this Court and governing law, whether such checks, drafts, wires <br />or ACH transfers are dated prior to, on or subsequent to the Petition Date provided that sufficient <br />funds are available and standing in the Debtors' credit with such Bank to make the payments. <br />The Banks shall not be liable to any party on account of (a) following the Debtors' instructions or <br />representations as to any order of this Court; (b) the honoring of any prepetition check or item if <br />in good faith and without inquiry, such Bank believes that the Court has authorized such <br />prepetition check or item to be honored; or (c) an innocent mistake made despite implementation <br />of reasonable item handling procedures. <br />9. The Banks are authorized to charge, and the Debtors are authorized to pay <br />or honor the Bank Fees. The Banks also are authorized to charge back returned items to the <br />Bank Accounts in the normal course of business, regardless of whether such items were <br />deposited prepetition or postpetition or relate to prepetition or postpetition items. The Debtors <br />shall reimburse the Banks (and the Banks are authorized to debit or charge back the bank <br />accounts for any such fees and expenses) for any claim arising prior to or after the Petition Date <br />in connection with any items returned to the Bank Accounts in the normal course of business. <br />10. Nothing in the Motion or this Interim Order, nor the Debtors' payment of <br />claims pursuant to this Interim Order, shall be deemed or construed as: (a) an admission as to <br />the validity of any claim against the Debtors; (b) a waiver of the Debtors' or any party in <br />interest's rights to dispute any claim on any grounds; (c) a promise to pay any claim; or (d) a <br />request to assume or reject any executory contract or unexpired lease pursuant to section 365 of <br />the Bankruptcy Code. <br />-5- <br />
