Case 16-42529 Doc 111 Filed 04/15/16 Entered 04/15/16 09:46:28 Main Document <br />Pg2of9 <br />the Court having found that (i) the Court has jurisdiction over this matter pursuant to <br />28 U.S.C. §§ 157 and 1334 and Rule 81-9.01(B)(1) of the Local Rules of the United States <br />District Court for the Eastern District of Missouri; (ii) venue is proper before this Court pursuant <br />to 28 U.S.0 §§ 1408 and 1409; (iii) this is a core proceeding pursuant to 28 U.S.C. § 157(b); <br />(iv) the Debtors having represented that adequate and proper notice of the Motion has been given <br />and that no other or further notice need be given; (v) cause exists, within the meaning of <br />section 345(b) of the Bankruptcy Code, to permit the Debtors to deposit and invest funds in <br />accordance with their prepetition deposit practices; (vi) payment of any amounts on the terms <br />and conditions described in the Motion, and the continuation of all Intercompany Transactions as <br />described in the Motion, is necessary and appropriate to prevent immediate and irreparable harm <br />to the Debtors' business operations and will serve to protect and preserve the Debtors' estates for <br />the benefit of all stakeholders; (vii) the requirements of Bankruptcy Rules 4001 and 6003 are <br />satisfied by the contents of the Motion and the arguments and evidence presented at the Hearing, <br />to the extent that they are applicable; (viii) there is good cause to waive the 14 -day stay imposed <br />by Bankruptcy Rule 6004(h), to the extent it is applicable; and (ix) the legal and factual bases set <br />forth in the Motion, First Day Declaration and at the Hearing establish just cause for the relief <br />granted herein; <br />ORDERED that, pursuant to section 345, 363(c)(1), 364, 503(b)(1) and 553 of the <br />Bankruptcy Code, the Motion is GRANTED on an interim basis in that: <br />The Debtors are authorized to: (a) maintain the Cash Management System, <br />in substantially the same form as the Cash Management System described in the Motion as it <br />may be modified by the DIP Facility; (b) implement other ordinary course changes to their Cash <br />Management System to the extent permitted by the DIP Facility; provided, however, that no such <br />-2- <br />
