<br />BARGAIN AND SALE DEED
<br />(Water Rights, Mineral Rights, Etc.)
<br />THIS BARGAIN AND SALE DEED (this "Deed") dated the 3rd day of October, 2014,
<br />is given by KING MOUNTAIN GRAVEL, LLC, a Colorado limited liability company
<br />("Grantor"), of Jefferson County, Colorado, to HEWES FAMILY LLLP, a Colorado limited
<br />liability limited partnership ("Grantee"), whose legal address is P.O. Box 184, Toponas,
<br />Colorado 80479.
<br />WITNESSETH, that Grantor, for and in consideration of Ten Dollars ($10.00) and other
<br />valuable consideration, the receipt of which is hereby acknowledged, hereby sells and conveys to
<br />Grantee, its successors and assigns forever, all of the real property in Routt County, Colorado
<br />described as follows:
<br />1. All water and water rights of any nature, whether tributary or non -tributary, or not non -
<br />tributary, whether adjudicated or unadjudicated, absolute or conditional, and all ditches
<br />and ditch rights, water wells, well rights and well permits, springs and spring rights,
<br />water stock, water stock rights and water stock certificates, reservoirs and reservoir
<br />rights, and all structures, equipment and appurtenances used in connection therewith,
<br />which are appurtenant to or historically utilized on the real property described on Exhibit
<br />A attached hereto and incorporated herein (the "Property"), including, without limitation,
<br />all of Grantor's right, title and interest in and to the water rights described on Exhibit B
<br />attached hereto and incorporated herein.
<br />2. All minerals and mineral rights of any type or any nature owned by Grantor on or
<br />underlying the Property including, without limitation, all sand, gravel, rock and other
<br />construction materials, and all coal, oil and gas, coalbed methane and liquid
<br />hydrocarbons.
<br />3. All minerals and mineral rights of any nature which are the subject of the deeds recorded
<br />at Reception Nos. 611150, 618309 and 618313 of the Routt County, Colorado real
<br />property records, wherever such minerals and mineral rights are located, and the
<br />conveyance of such minerals and mineral rights shall not be limited to those located on or
<br />underlying the Property.
<br />4. All right, title and interest of Grantor in and to property lying south of Parcel 2 on Exhibit
<br />A and north of the historic fence line located along the south bank of the Morse Ditch.
<br />Grantor agrees to take such further actions and to execute and deliver such further documents as
<br />Grantee may reasonably request in order to evidence, carry out or complete any of the
<br />conveyances contemplated by this Deed.
