The transaction is expected to close <br />during the first quarter 2016. Bowie is purchasing a holding company (Southwest Coal Holdings, LLC) which <br />will directly or indirectly own the existing companies that hold permits associated with the subject coal mining <br />operations. Therefore, the ultimate ownership and control (parent company(s)) of these companies will be <br />changing, and we will be working jointly with Bowie to conduct the necessary steps to assure that all required <br />notifications, consents, and permit transfers (where applicable) are properly addressed with each respective <br />regulatory agency.
