4. Delivery Schedule. Central and Lessee agree to the monthly delivery schedule as <br />follows: <br />a. Lease Payment. Lessee agrees to pay to Central four -hundred -dollars and no cents <br />($400.00) per acre-foot for the Water. The total owed to Central by Lessee is ninety - <br />thousand -two -hundred -eighty-four dollars and no cents ($83,416.00) which shall be <br />paid upon the signing of this Agreement. The Lease payment is non-refundable and <br />is owed regardless of whether Lessee uses the Water. <br />6. No continuing rights in Water. Any quantity of the Water which Lessee has not <br />authorized to be released from storage by December 31, 2016 above shall become <br />the property of Central without any reduction in the amount paid to Central <br />pursuant to this Agreement. Lessee shall have no continuing rights in and to the <br />Water. <br />7. Release Responsibilities. Central shall release the Water on the schedule set forth <br />above. No changes to the schedule shall be made unless agreed to by both the <br />Central and Lessee in writing. <br />Lessee shall be responsible for taking such actions as are necessary in order to take <br />delivery of and obtaining augmentation credit for the Water and shall be responsible <br />for all costs associated therewith. Lessee shall indemnify and hold Central harmless <br />from any and all damage which may result from its operations under this <br />Agreement. <br />8. Lessee's Intended Use. Lessee intends to utilize the Water to offset depletions from <br />its gravel mining operations at Shores Reservoir, Bernhardt Reservoir, LaPoudre, <br />LaPoudre North, Firestein, Tigges, and Roberts gravel mines. Lessee shall be <br />responsible for obtaining such Federal, State and Local Governmental approvals as <br />are necessary for it to use the Water for its intended purposes, including such <br />approvals as may be required pursuant to Colorado water law. <br />Page 2 of 6 <br />
