<br />THIS BARGAIN AND SALE DEED is made effective thisky of 2015 by and
<br />between WALKER RUBY MINING COMPANY, INC., a Colorado corporation, tor, whose address
<br />is 7216 Marsh Terrace, Port St. Lucie, Florida 34986, and 42 MINING COMPANY LTD, a Colorado
<br />limited liability company, Grantee, whose address is 300 E. Commerce Street, Jacksonville, Texas 75766.
<br />WITNESSETH, that for and in consideration of the sum of SEVEN MILLION DOLLARS
<br />($7,000,000.00) and other good and valuable consideration, the receipt and sufficiency of which
<br />consideration are hereby acknowledged, Grantor has granted, bargained, sold and conveyed and by these
<br />presents does grant, bargain, sell and convey unto Grantee the patented and unpatented mining claims
<br />situate, lying and being in the County of Ouray, State of Colorado, described as follows:
<br />See Exhibit A and Exhibit B, attached hereto and incorporated herein by this reference.
<br />TOGETHER with all Grantor's right, title and interest in dumps, fixtures, improvements, rights,
<br />privileges and appurtenances belonging or in any way appertaining to the same and all dips, spurs and
<br />angles, and also all minerals of every type and description, metals, ores, gold and silver -bearing quartz,
<br />rock and earth in, under or upon such claims, RESERVING AND EXCEPTING unto Grantor a perpetual
<br />Net Smelter Royalty (as more specifically defined on Exhibit C attached hereto and incorporated herein
<br />by this reference), running with the land.
<br />TO HAVE AND TO HOLD, the said premises above bargained and described, unto the Grantee,
<br />its success and assigns forever.
<br />IN WITNESS WHEREOF, the Grantor has executed this bargain and sale deed the day and year
<br />first above written.
