41. Entire Agreement. This Lease, including the easements referenced <br />herein, constitute the entire agreement of the parties hereto. No representations, <br />promises, terms, conditions, obligations or warranties whatsoever referring to the subject <br />matter hereof, other than those expressly set forth herein, shall be of any binding legal <br />force or effect whatsoever. No modification, change or alteration of this Lease shall be of <br />any legal force or effect whatsoever unless in writing, signed by all the parties hereto. <br />42. Severability. If any provision or any portion of this Lease shall be <br />held invalid, illegal or unenforceable under applicable law, the remainder of this Lease <br />shall remain valid and enforceable. <br />43. Section and Other Headings. The section and other headings <br />contained in this Lease are for reference purposes only and shall not affect the meaning or <br />interpretation of this Lease. <br />44. Authority and Liability. If either the Lessor or the Lessee is a <br />corporation, partnership, limited liability company or other entity, each individual <br />executing this Lease on behalf of such entity represents and warrants that he or she is duly <br />authorized to execute and deliver this Lease on behalf of such entity in accordance with its <br />articles, by-laws, operating or partnership agreement, or other charter document, and that <br />this Lease is binding upon such entity. <br />45. Counterparts. This Lease may be executed in any number of <br />counterparts which, taken together, shall be but one and the same instrument. This Lease <br />shall be effective if each party hereto has executed and delivered at least one counterpart <br />hereof. <br />46. Facsimile, Electronic Mail. A copy of this Lease manually -executed <br />by one party to this Lease and transmitted to another party to this Lease by facsimile or <br />electronic mail shall have the same effect for all purposes as the delivery of a manually <br />executed copy of this Lease to the recipient of the facsimile copy. A party delivering a <br />copy of this Lease by facsimile or electronic mail shall, as promptly as reasonably <br />possible, deliver a manually -signed copy of the Agreement to each recipient of a facsimile <br />or electronic mail copy. <br />IN WITNESS WHEREOF, the parties hereto have executed this Lease effective as <br />of the Effective Date. <br />LESSOR: <br />13 <br />
