ASSIGNMENT OF MEMBERSHIP INTEREST <br />IN SUNDANCE INVESTMENTS, A LIMITED PARTNERSHIP <br />JOHN H. DRABING, in his individual capacity and as trustee of the Bypass Trust of <br />Sally Drabing Trust dated June 24, 1998, (the "Trust"), hereby assigns and convey all of <br />the Trust's and his membership (amounting to 25%) interest in SUNDANCE <br />INVESTMENTS, A LMTED PARTNERSHIP, (tile "Company") IN EQUAL <br />SHARES to each of the following: <br />JEFFREY M. DRABING, 9226 North Surrey Road, Castle Rock, CO 80108; and <br />KIRK S.
