10. On June 22, 2007, A Memorandum Of Lease was executed between the Partnership and <br />Lafarge for the purposes of minimal public disclosure required for upcoming and ongoing <br />applications and permits at the local, state and federal levels of government pertaining to <br />the Lafarge Lease. <br />11. From October 26, 2004 through May 27, 2009, six separate and distinct Amendments to <br />the Lafarge Lease have been executed between the Partnership and Lafarge. In general, <br />these Amendments have revised the LCD to currently be set for July 20, 2009. Although <br />this date has passed, it remains a legal date to base future Amendments upon. <br />12. As of January 1, 2010, the members and percent ownership within the Partnership were: <br />John H. Drabing, General Partner, 0.2%; Jeffrey M. Drabing, General Partner, 25%; <br />Diane E. Drabing, General Partner, 25%; Michael S. Drabing, Managing Partner, 25%; <br />and the Sally J. Drabing By Pass Trust (John H. Drabing, Trustee), General Partner, <br />24.8%. The above stated ownership percentages remain in effect at the time of execution <br />of this Resolution. <br />13. Any gifting or transference of ownership percentage out of the Sally J.
