<br />THis DEED, dated and effective as of the 2nd day of September, 2008 between COLORADO
<br />MARBLE, INC., a Georgia corporation with a mailing address of 229 Industrial Park Road,
<br />Cartersville, Georgia 30121 ("Grantor") and QUIKRETE MATERIALS, LLC, a Georgia
<br />limited liability company, with a mailing address of c/o Quikrete Holdings, Inc., One Securities
<br />Centre, 3490 Piedmont Road, Suite 1300, Atlanta, Georgia 30305, Attention: Mr. James E.
<br />Winchester, Jr. ("Grantee"). The words "Grantor" and "Grantee" shall include the heirs,
<br />executors, legal representatives, successors and assigns of said parties, where the context
<br />requires or permits;
<br />WITNESSETH, that Grantor, for and in consideration of the sum of TEN AND
<br />NO/1 GOTHS DOLLARS ($10.00), and other good and valuable consideration, the receipt and
<br />sufficiency of which is hereby acknowledged, has granted, bargained, sold, conveyed and
<br />confirmed, and by these presents does grant, bargain, sell, convey and confirm unto Grantee, its
<br />legal representatives, successors and assigns forever, the following described property, situate,
<br />lying and being in the Monarch Mining District, County of Chaffee and State of Colorado, to
<br />wit:
<br />SEE EXHIBIT "A" ATTACHED HERETO AND MADE A PART HEREOF
<br />together with all the dips, spurs and angles, and all the metals, ores, gold and silver -bearing
<br />quartz, rock and earth therein to the full extent the foregoing may be the subject of the patented
<br />mining claims described in Exhibit "A"; and all the rights, privileges and franchises thereto
<br />incident, appendant and appurtenant; and all and singular the tenements, hereditaments and
<br />appurtenances thereto belonging or in any wise appertaining, and the rents, issues and profits
<br />thereof; and all the estate, right, title, interest, claim and demand whatsoever, either in law or
<br />equity, of Grantor, of, in or to the said premises described in Exhibit "A", and every part and
<br />parcel thereof, with the said appurtenances;
<br />TO HAVE AND TO HOLD the said premises above bargained and described, with the
<br />appurtenances, unto Grantee, its legal representatives, successors and assigns forever. And
<br />Grantor, for itself, its legal representatives, successors and assigns, does covenant and agree that
<br />it shall and will warrant and forever defend the above bargained premises, in the quiet and
<br />peaceable possession of Grantee, its legal representatives, successors and assigns, against all and
<br />every person or persons lawfully claiming the whole or any part thereof, by, through, or under
<br />Grantor, subject to the same provisions, reservations and limitations contained in the patent of
<br />the United States issued for said premises, and the matters described in Exhibit "B" attached
<br />hereto and made a part hereof.
