MLA-Segelke <br />part of the Property. Lessee shall cooperate with Lessor's efforts to obtain any agreement <br />evidencing this subordination provision. <br />12. ESTOPPEL. Lessee shall cooperate with Lessor's efforts to obtain any estoppel <br />agreement required by Lessor or third parties. <br />13. RECORDING. The parties agree not to record the Lease or any memorandum of <br />the Lease in the public record. <br />14. ENTIRE AGREEMENT. The Lease is the entire agreement between the parties <br />with respect to the subject matter contained herein and supersedes any verbal <br />understandings and prior agreements between the parties here. No alterations, <br />modifications, or revision to the Lease shall be binding on either party unless in writing <br />and signed by both parties. <br />15. APPLICABLE LAW. The Lease shall be interpreted and construed in <br />accordance with the laws of the State of Colorado. <br />16. NOTICE. All notice required or permitted by the Lease shall be in writing and <br />if mailed, shall be sent by certified mail addressed to the other party at the address first <br />written above. Written notices shall also be deemed to have been duly served if delivered <br />in person to the other party. <br />17. ATTORNEYS' FEES. In any action, proceeding or dispute resolution process <br />arising from, out of or in connection with the Lease and the transactions contemplated <br />hereby, the prevailing party therein shall recover from the other party hereto the costs, <br />expenses and reasonable attorneys' fees incurred by the prevailing party in connection <br />therewith. <br />18.. JOINT AND SEVERAL LIABILITY.
