Exhibit N-2 When recorded return to: Eugene.L Riordan Vrancah&Raisch.LLP 1720140'Street Boulder,CO 80302 EASEMENT AGREEMENT THIS EASEMENT AGREEMENT ("Agreement") is entered into as of the Lg day of June, 2015 ("Effective Date"),by and between HENDERSON AGGREGATE,LTD.,a Colorado limited partnership, whose address is P.O. Box 700, Henderson, CO 80640 ("Henderson" or "Grantor") and BRANNAN SAND AND GRAVEL COMPANY,LLC, a Colorado limited liability company, whose address is 2500 Brannan Way,Denver, Colorado 80216 ('Brannan").Henderson and Brannan may be referred to herein collectively as the"Parties"and individually as a"Party." Recitals A. Henderson is the owner of that certain real property in Adams County, Colorado as more particularly set forth on Exhibit A attached hereto and made a part hereof(the"Henderson Property")and has constructed a 10.5"inside diameter pipeline to the South Platte River as shown on Exhibit B, attached hereto and made a part hereof, with the designation "ST" ("Pipeline") to drain a channel upgradient of the Pipeline as generally shown on said Exhibit B. B. Brannan is the owner of certain rights in and to that certain real property which is located in Adams County, Colorado and more particularly described and depicted on Exhibit C attached hereto and made a part hereof(`Brannan Pit#29"). C. Brannan desires to acquire a Perpetual Easement, defined below, and a Temporary Easement, defined below, through, in, upon, over and across the real property, more particularly described below, for the general purpose of constructing and operating drain facilities to relieve any potential ground water mounding potentially attributable to the slurry walls constructed in the vicinity of Brannan Pit#29. D. Grantor desires to grant to Brannan the Perpetual Easement and Temporary Easement pursuant to the terms and conditions contained in this Agreement. 1"9841642 l `
