Box 700, Henderson, CO 80640 ("Henderson" or "Grantor") and BRANNAN <br /> SAND AND GRAVEL COMPANY,LLC, a Colorado limited liability company, whose address is 2500 <br /> Brannan Way,Denver, Colorado 80216 ('Brannan").Henderson and Brannan may be referred to herein <br /> collectively as the"Parties"and individually as a"Party." <br /> Recitals <br /> A. Henderson is the owner of that certain real property in Adams County, Colorado as more <br /> particularly set forth on Exhibit A attached hereto and made a part hereof(the"Henderson <br /> Property")and has constructed a 10.5"inside diameter pipeline to the South Platte River as <br /> shown on Exhibit B, attached hereto and made a part hereof, with the designation "ST" <br /> ("Pipeline") to drain a channel upgradient of the Pipeline as generally shown on said <br /> Exhibit B. <br /> B. Brannan is the owner of certain rights in and to that certain real property which is located in <br /> Adams County, Colorado and more particularly described and depicted on Exhibit C <br /> attached hereto and made a part hereof(`Brannan Pit#29"). <br /> C. Brannan desires to acquire a Perpetual Easement, defined below, and a Temporary <br /> Easement, defined below, through, in, upon, over and across the real property, more <br /> particularly described below, for the general purpose of constructing and operating drain <br /> facilities to relieve any potential ground water mounding potentially attributable to the <br /> slurry walls constructed in the vicinity of Brannan Pit#29. <br /> D.
