resulting from or claimed to result from any Hazardous Substances or pollution, and (c) any reports
<br />made to any local, state or federal environmental agency arising out of or in connection with any
<br />Hazardous Substances or pollution related to the Premises, including any complaints, notices,
<br />warnings or asserted violations in connection therewith. Lessee shall also supply to Lessor as
<br />promptly as possible and in any event within five (5) business days after Lessee first receives or
<br />sends the same, copies of all claims, reports, complaints, notices, warnings or asserted violations
<br />relating in any way to the Premises or Lessee's use thereof.
<br />7. Indemnification of Lessor. To the extent not covered by Lessee's general indemnification
<br />obligations set forth in the Lease, Lessee shall indemnify (by counsel acceptable to Lessor), protect
<br />and hold harmless Lessor and each of Lessor's partners, directors, officers, employees, agents,
<br />attorneys, successors and assigns, from and against any and all claims, liabilities, penalties, fines,
<br />judgments, forfeitures, losses (including, without limitation, diminution in the value of the Premises,
<br />damages for the loss or restriction on use of the Premises), costs or expenses (including attorneys'
<br />fees, consultant fees and expert fees) for the death or injury to any person or damage to any property
<br />whatsoever, arising from or caused in whole or in part by Lessee's violating its covenants as set
<br />forth herein, which directly or indirectly results in (a) the presence in, on, under or about the
<br />Premises, or any discharge or release in or from the Premises, of any Hazardous Substances or
<br />pollution, or Lessee's use, analysis, storage, transportation, disposal, release, threatened release,
<br />discharge or generation of Hazardous Substances or pollution to, in, on, under, about or from the
<br />Premises, or (b) Lessee's violation of any applicable laws. Lessee's obligations under this
<br />paragraph shall include, without limitation and whether foreseeable or unforeseeable, any and all
<br />costs incurred in connection with any investigation of site conditions and any and all costs of any
<br />required or necessary repair, cleanup, detoxification or decontamination of the Premises (including,
<br />without limitation, the soil and groundwater. on or under the Premises) and the preparation and
<br />implementation of any closure, remedial action or other required plans in connection therewith.
<br />Lessee's obligations under this paragraph shall survive the expiration or earlier termination of the
<br />Term. For purposes of the release and indemnity provisions hereof, any acts or omissions of Lessee
<br />or by employees, agents, assignees, contractors or subcontractors of Lessee or others acting for or
<br />on behalf of Lessee (whether or not they are negligent, intentional, willful or unlawful) shall be
<br />strictly attributable to Lessee.
