hereunder are prohibited.
<br />B. Licensee shall exercise the rights granted hereunder with due care and in
<br />accordance with all applicable laws and regulations relating to Licensee's use of the
<br />Water Facilities.
<br />C. At no time shall Licensee interfere with District's use of the Water
<br />Facilities.
<br />D. Licensee shall not suffer or permit any mechanic's, materialmen's, or
<br />other liens, or claims to attach to or be filed against the Water Facilities; and Licensee
<br />shall at all times fully protect and indemnify District against all such liens or claims
<br />and against all attorneys' fees and other costs and expenses growing out of or incurred
<br />by reason or on account of any such liens or claims. If any such liens, claims, or similar
<br />proceedings are filed or commenced, Licensee shall within twenty -one (21) days after
<br />notice of the filing thereof cause the same to be discharged of record by payment,
<br />deposits, order of court, or by bonding. Should Licensee fail to fully discharge of
<br />record any such lien or claim, District, at its option, may pay the same or any part
<br />thereof, and District shall be the sole judge of the validity of same. Reimbursement of
<br />all amounts so paid by District shall be made within twenty -one (21) days after District
<br />mails to Licensee an invoice signed by an officer, director or manager of District
<br />describing the amounts so paid.
<br />2. Reservation of rights. In granting this license, District reserves the right to
<br />make full use of the Water Facilities as may be necessary or convenient, and District
<br />retains all rights to construct, install, operate, maintain, alter, reconstruct, replace,
<br />relocate, inspect, improve, remove, clean, and repair any of its Inlet /Outlet facilities
<br />at any time and in such a manner as it deems necessary or convenient. In the
<br />event that Licensee's use of the Water Facilities should interfere with District's use of
<br />the Water Facilities, Licensee shall, upon request by District and at Licensee's sole
<br />expense, immediately cease its use of the Water Facilities.
<br />3. Indemnity. To the fullest extent permitted by law, Licensee hereby releases, and
<br />shall protect, defend, indemnify and save and hold harmless District, its successors,
<br />assigns, officers, officials, agents, representatives, and employees from and against any
<br />and all claims, damages, losses, penalties, costs (including reasonable attorneys' fees),
<br />demands, liabilities, suits, actions, causes of action, or other legal or equitable
<br />proceedings of any kind or nature whatsoever, asserted by anyone whomsoever,
<br />arising out of or related to, directly or indirectly, Licensee's use of the Water Facilities,
<br />including but not limited to any negligent or willful act, error or omission on the part of
