CRAIN, <br />DOUGLAS COUNTY CLEW AND RECORDER <br />OF SALE AND ASSIGNMENT <br />DC9704085 <br />THIS DEED made this 2.3 day of January, 1997 is delivered by <br />and between Tom H. Connolly ( "Seller ") , as Chapter 7 Trustee and on <br />behalf of the Bankruptcy Estate of Jimmie Dean Braley, Sr. a /k /a <br />James D. Braley, SSN: Debtor, Case No. 95 -12008 RJB, <br />United States Bankruptcy Court for the District of Colorado (the <br />"Estate ") and ARS Sand & Gravel Co., LLC (the "Buyer "), the <br />designee of Kim Haarberg and Jim Anttonen. <br />W I T N E S S E T H: <br />WHEREAS, the Seller and Buyer entered into a Real Estate Cash <br />Sale Agreement dated November 15, 1996 (the "Contract ") , concerning <br />certain real property and improvements thereon and applicable <br />mineral and water rights appurtenant thereto, if any, subject to <br />the control of the undersigned pursuant to and in accordance with <br />Section 541 of the United States Bankruptcy Code (11 U.S.C. §541), <br />which real property, located in the County of Douglas, State of <br />Colorado, is more particularly described on Exhibit A which is <br />attached hereto and incorporated herein by this reference, and all <br />water rights of the Estate located thereon, as more particularly <br />described in Exhibit B which is attached hereto and incorporated <br />herein by this reference (the "Property "); and <br />WHEREAS, on January 7, 1997, the Honorable Roland J. <br />Brumbaugh, United States Bankruptcy Judge in the above - referenced <br />case entered his Order authorizing Seller to convey the interest <br />of the Estate in the Property upon Buyers purchase of the Property <br />free and clear of all liens, claims, encumbrances and other <br />interests pursuant to Sections 363(b) and (f) of the Bankruptcy <br />Code (11 U.S.C. §§ 363(b) and (f)), pursuant to the terms of this <br />Trustee's Deed, and pursuant to the terms of the Contract; <br />WHEREAS, Buyer has paid all cash consideration in the amount <br />of $420,000.00, fulfilled all other obligations in connection with <br />the Contract and is entitled to conveyance of the Property without <br />further performance or conditions; and <br />WHEREAS, Seller makes no warranties or representations of any <br />kind or nature with respect to the title of the Property <br />transferred hereby, and Buyer recognizes that this transfer and <br />conveyance is on an AS IS, WHERE IS, basis and without warranty and <br />representation of any kind or nature whatsoever. <br />9704085 - 01/23/97 15:17 - RETA A CRAIN DOUGLAS CO.
