Dartmouth Ave. <br />Denver, CO 80110 <br />ACCESS AGREEMENT <br />This Access Agreement ( "Agreement ") is entered into between Victoria Whitman, an <br />individual, whose address is 17840 County Road 150, Kiowa, CO 80317 ( "Grantor "), and <br />General Shale Brick, Inc., a Delaware corporation, whose address is 1845 W. Dartmouth Ave., <br />Denver, CO 80110 ( "Grantee). <br />RECITALS <br />A. Grantor is the owner of the following property situated in Elbert County, <br />Colorado: SE '/4, NE '/4 of Section 33, T. 7 S., R. 62 W., 6 "' P.M. (the "Property "). <br />B. Grantee leases from Grantor certain properties situated in Elbert County, <br />Colorado ( "Leased Property ") pursuant to that Exploration Agreement and Clay Mining Lease, a <br />copy of which is recorded in the records of the Clerk and Recorder of Elbert County, Colorado <br />on November 6, 1957 at Reception No. 163163, Book 235, Page 299, as amended (the "Lease "). <br />C. Grantor has agreed to provide Grantee with rights to utilize a 30 feet -wide access <br />route across and through the Property (the "Access Easement ") for purposes of accessing the <br />Leased Property, pursuant to the terms set forth in this Agreement. The Access Easement is <br />described in Exhibit A hereto. In return, Grantee has re- graded and graveled an existing road <br />within the Access Easement and constructed two gates on that roadway. <br />NOW THEREFORE, for valuable consideration, the receipt and sufficiency of which is <br />hereby acknowledged, Grantor and Grantee agree as follows: <br />TERMS OF AGREEMENT <br />1. Grant. Grantor hereby grants to Grantee, and its successors and assigns, the non- <br />exclusive right to use the Access Easement to construct, use, improve and maintain roads, access <br />routes and haulage ways for access to and from the Leased Property. <br />2. Rental. Grantee shall pay to Grantor One Hundred Dollars ($100.00) in cash <br />within 30 days following the execution of this Agreement by all parties. On or before November <br />11, 2015, and on or before each November l 1 thereafter for so long as this Agreement remains in <br />effect, Grantee shall pay to Grantor an annual rental of One Hundred Dollars ($100.00). <br />3. Nonexclusive Rights. The rights granted hereby to Grantee are nonexclusive, and <br />Grantor reserves unto itself, and its successors and assigns, the right and privilege to use the <br />
