Copies of the Plan <br />Sanction Order and the Plan are annexed hereto as Exhibit 1 and Exhibit 2, respectively. <br />Due and timely notice of the filing of the Motion was given to those creditors of the <br />Cline Debtors required to be served under the Bankruptcy Code, other parties in interest, and the Office <br />of the United States Trustee, which notice is adequate for purposes of the Motion and no other or <br />further notice thereof need be given. Any objections to the Motion that have not been withdrawn or <br />resolved have been overruled. <br />After due deliberation and sufficient cause appearing therefore, the Court finds and <br />concludes as follows: <br />(A) this Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 <br />and 1334, 11 U.S.C. § 1501; <br />(B) this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2)(P); <br />(C) venue is proper in this District pursuant to 28 U.S.C. § 1410(3); <br />(D) the relief granted is necessary and appropriate, in the interests of the <br />public and international comity, consistent with United States public policy, warranted pursuant <br />to section 1521 of the Bankruptcy Code, and will not cause any hardship to any party in interest <br />that is not outweighed by the benefits of granting that relief; <br />(E) pursuant to section 1507(b), the relief granted will reasonably assure: <br />(1) just treatment of all holders of claims against or interests in the <br />Cline Debtors' property; <br />(2) protection of claim holders in the United States against prejudice <br />and inconvenience in the processing of claims in the Canadian <br />Proceeding; <br />(3) prevention of preferential or fraudulent dispositions of property of <br />the Cline Debtors; and <br />(4) distribution of proceeds of the Cline Debtors' property <br />substantially in accordance with the order prescribed by the Bankruptcy <br />Code. <br />
