1 <br />EXHIBIT B <br />Lining Specifications for Slurry Walls <br />The mining and water storage Cells shall be lined in a manner that will allow the Cells to be <br />maintained as water storage facilities utilizing the slurry lining methodology in accordance with <br />engineered plans to be prepared by Rocky Mountain Consultants, Inc., 1900 S. Sunset Street, <br />Suite 1 -F, Longmont, Colorado 80501 (the "Engineer"). To the extent that the terms of this <br />' Exhibit B vary from or conflict with other provisions of the underlying Purchase Contract, the <br />terms of this Exhibit B shall control. <br />rverview. In order to optimize the economic value of the Property, it is contemplated that the <br />Property will be divided into two (2) Cells, in the general manner as set forth in Exhibit C. <br />' Grantee shall be responsible for slurry lining the North Cell to a top elevation of at least 5011 <br />feet, and the South Cell to a top elevation of at least 5027 feet. In order to accommodate future <br />construction of lined embankment storage, Grantee may construct the slung walls above said <br />' elevations, in accordance with the recommendations of Engineer, provided, however, that any <br />such construction by Grantee of slurry walls above the elevations specified above shall be subject <br />to funding, and shall be in the discretion of Grantee and subject to Grantor's approval which <br />' shall not be unreasonably withheld. <br />The creation of any storage by the construction of the lined embankments (above the slurry walls <br />constructed by Grantee) shall be undertaken by Grantor, at its sole expense. <br />Slurry wall construction. For the construction of the slung walls, the engineered plans will be <br />developed in substantial conformance with the following: <br />1. Generally, a trench around the Cells will be excavated from the surface elevation <br />' specified above into the underlying bedrock. The distance into the bedrock will be variable, <br />based on the composition of the bedrock. <br />F� <br />1 <br />I <br />2. A slurry material comprised of water, trench materials, supplemental fines and <br />bentonite will be pumped into the newly dug trench. <br />3. The final location of the slung walls will be as determined by the Engineer in <br />consultation with Grantor and Grantee. <br />4. The Cells shall be designed to reasonably optimize water storage. <br />5.
