<br /> 4. TechWcal Information. Promptly following the execution of this Agreement,
<br /> Lessor shall deliver to Energy Fuels all geological, geophysical, geochemical and engineering
<br /> data and information in its control which relates to the Subject Properties.
<br /> S. Term. The term of this Agreement shall be for a period of twenty (20) years from
<br /> the date hereof, and so long thereafter as the Minerals fi-om any of the Subject Properties are
<br /> being produced on a continuing basis, unless sooner terminated or further extended by mutual
<br /> agreement of the parties or as provided herein. Whenever the continued term of this Agreement
<br /> Is dependent upon continuing production by Energy Fuels and there occur periods: (a) when, in
<br /> the sole discretion of Energy Fuels,there is no reasonable market for the Minerals which are or
<br /> could be produced by Energy Fuels from the Subject Properties; or (b) when production,
<br /> marketing or disposal by Energy Fuels of the Minerals from the Subject Properties is prevented
<br /> or interrupted by a condition or happening of force majeure as defined in Paragraph 26 below,
<br /> the term of the Agreement shall nevertheless continue if during such period or periods the
<br /> advance royalties provided for in Paragraph 8 hereof are paid. When, in the sole discretion of
<br /> Energy Fuels, a satisfactory market becomes available, Energy Fuels shall have a reasonable
<br /> time thereafter within which to resume production of the Minerals from the Subject Properties. A
<br /> "reasonable market" shall not exist and Energy Fuels may suspend operations during periods
<br /> when the Minerals cannot be produced and sold at a profit by reason of low prices,or otherwise,
<br /> or when the Minerals cannot be readily sold at prevailing prices so that an unreasonable
<br /> inventory thereof has accumulated or otherwise would accumulate.
<br /> 6. Cross-Mining Rights and Access. To the extent Lessor has the right to grant,
<br /> during the term of this Agreement Energy Fuels is hereby granted the right, if it so desires, to
<br /> possess and use all or any part of the Subject Properties and any or all structures, facilities,
<br /> tunnels, shafts,pits, openings,ditches,pipelines,equipment,machinery roads,haulage ways and
<br /> other improvements or appurtenances existing thereon or thereunder for the purpose of
<br /> developing, producing, removing, extracting, mining, treating, processing, stockpiling, storing,
<br /> depositing and transporting minerals, concentrated products, wastes, water, fluids, solutions or
<br /> materials from any adjoining or nearby property owned, controlled or operated by Energy Fuels,
<br /> and for any other purposes, including access, connected with exploration, development or
<br /> producing operations on such adjoining or nearby property.
