by Lessor, Energy Fuels shall have six (6) months from the date of a valid forfeiture,
<br /> cancellation, expiration or other termination to remove said items, provided that such right of
<br /> removal shall not extend to foundations and mime timbers in place unless Lessor shall have given
<br /> its previous written consent thereto. If Energy Fuels is hampered by snowdrifts, washouts,
<br /> inclement weather or other climatic conditions,from completing the removal of said items within
<br /> the time specified, then Lessor agrees to extend the time for removal by a reasonable period if
<br /> requested by Energy Fuels.
<br /> 24. Right of Assignment. During the term of this Agreement, Energy Fuels shall have
<br /> the right to assign, sell, enewnber or otherwise transfer to any third party any of its rights or
<br /> interests in and to this Agreement or any of the Subject Properties then subject to this
<br /> Agreement. Any assignment, however, shall only be to an entity or entities with a net value at
<br /> least equal to or greater than Energy Fuels,
<br /> 25. Force Majeure. If Energy Fuels is unable,wholly or in part, to perform any of the
<br /> terms and covenants of this Agreement, other than the covenants to pay advance or production
<br /> royalties, by reason of damage or delay resulting from disaster, labor disturbances, shortage of
<br /> labor or equipment, strikes, lockouts, other industrial disturbances, act of God, act of the public
<br /> enemy, war, blockade, riot, insurrection, lightning, fire, storm, flood, inclement weather,
<br /> explosion, or any regulations,restrictions or acts of governmental agencies,or on account of any
<br /> eventuality or conditions whether enumerated or not, beyond the reasonable control of Energy
<br /> Fuels, including state,federal or local environmental statute or regulation, Energy Fuels shall be
<br /> excused from performance of any obligation affected by such condition during the period
<br /> required to overcome the delay and for sixty (64) days thereafter; and the time for performance
<br /> of Energy Fuels' obligations affected by said condition and the term of this Agreement shall be
<br /> extended for a like period. In the event Energy Fuels or its purchaser of ores, concentrates or
<br /> mineral products is, becomes or believes it is about to become subject, at any time, to
<br /> environmental regulations (which shall include any governmental law, rule, order, regulation,
<br /> policy, proposal or restriction relating to environmental pollution) which will prohibit or
<br /> materially affect any operation Energy Fuels is carrying out, or planning to carry out hereunder,
<br /> Energy Fuels shall have the right to declare the existence of a condition of force majeure during
<br /> the period in which it is in good faith seeking a feasible method to comply with, be exempted
<br /> from, modify, obtain necessary permits or licenses under, or prevent the enactment or
