Barr, Clerk and Recorder, Fremont County, CO <br /> �fil RrHYiYrrh <br /> EASEMENT �V, I 5_zq j <br /> This Easement is entered by and between Sierra-Delta, LLC, a Colorado Limited <br /> Liability Company (hereinafter referred to as "Grantor") and Rocky Mountain Materials and <br /> Asphalt, Inc., a Colorado Corporation whose address is 1910 Rand Avenue, Colorado Springs, <br /> Colorado 80905 (hereinafter referred to as "Grantee.") <br /> For good and valuable consideration, the receipt and adequacy of which is hereby <br /> acknowledged, Grantor hereby grants and conveys to Grantee a non-exclusive Easement on, <br /> over, under and across the "Property" described in Exhibit A attached hereto in accordance with <br /> these terms and provisions. This Easement provides for ingress and egress for commercial <br /> quarrying purposes to the Grantee. This Easement allows utility structures and drainage <br /> structures incidental and consistent with commercial quarrying. This Easement shall also allow <br /> for access for construction, alteration, improvement, maintenance and repair of the roadway, <br /> utility system and drainage structures. <br /> Grantee shall have the quiet use and enjoyment of the Property in accordance with the <br /> terms hereof without interference from the Grantor or any party claiming through it. Grantor and <br /> its successors will defend the Title to this Easement against all persons, claiming by and through <br /> or under the Grantor. Grantor agrees that its lessees, tenants and licensees will not use the <br /> Property in such a way that it will interfere with or is incompatible with Grantee's use. Grantor <br /> will not sell, transfer or assign or encumber the Property or grant any easement or other right <br /> with respect to the Property which could interfere with the Grantee's use. <br /> This Easement runs with the land. Any transfer or assignment of the Property or any <br /> encumbrance that may be placed upon the Property or any part thereof, either by contract or <br /> obligation of law shall be subordinated to this Easement. <br /> This Easement allows access to a quarry from Barrett Road. The quarry is legally <br /> described in a Royalty Agreement and Wheelage Agreement and can be viewed at the offices of <br /> Rocky Mountain as stated above. This Easement shall be freely assignable with the sale or <br /> transfer or assignment of the above mentioned Royalty Agreement or Wheelage Agreement.
