7. DEFAULT: <br /> a. The failure of Lessee to pay any rental amounts due hereunder within five <br /> (5)days of the due date shall constitute a default and shall be grounds for Lessor to terminate the <br /> Lease Agreement and Lessee's tenancy without funther notice; <br /> b. If Lessee defaults under any other term or provision of this Lease <br /> Agreement, and such failure continues for ten (10) days after written notice thereof by Lessor, <br /> then Lessor may terminate this Lease Agreement and Lessee's tenancy in accordance with laws <br /> of the state of Colorado; <br /> S. ATTORNEY FEES: In any action brought to recover any payments due under <br /> this Lease Agreement,or for or on account of any breach of or to enforce or interpret any of the <br /> terms,covenants or conditions of the Lease Agreement,the prevailing party, in any resolution of <br /> said action, shall be entitled to recover their costs, including reasonable attorneys fees from the <br /> other party. If any third person institutes an action against either Lessor or Lessee in which the <br /> other party to this Lease Agreement, involuntarily and without cause,is made a party defendant, <br /> the first party shall indemnify and save the other party harmless for all liabilities by reason <br /> thereof,including attorneys fees and all costs incurred by such other party in such action; <br /> 9. ASSIGNMENT: Lessee may not assign, voluntarily or involuntarily, Lessee's <br /> rights and obligations pursuant to this Lease Agreement without the consent of Lessor, which <br /> consent may be withheld in Lessor's discretion. <br /> 11. ENTIRE AGREEMENT: This Lease Agreement, its exhibits and specified <br /> addenda,constitute the entire Lease Agreement between the parties relating to the subject hereof; <br /> and any prior agreements pertaining thereto, whether oral or written, have been merged and <br /> integrated into this Lease Agreement. No subsequent modification of any of the terms of this <br /> Lease Agreement shall be valid, binding upon the parties or enforceable unless made in writing <br /> and signed by the parties;and <br /> 12.
