<br />WARRANTY DEED
<br />THIS DEED is dated September 27, 2013 and is made between VERHOEFF FARMS, INCORPORATED, a
<br />corporation duly organized and existing under and by virtue of the laws of the State of COLORADO, by and through its President,
<br />LANCE O. VERHOEFF, the "Grantor," and LANCE O. VERHOEFF, individually, the "Grantee," whose legal address is 27354
<br />County Road 1J, McClave, CO 81057.
<br />WITNESS, that the Grantor, for and in consideration of the sum of TEN DOLLARS AND 00 /100, ($10.00) AND
<br />OTHER VALUABLE CONSIDERATION, the receipt and sufficiency of which is hereby acknowledged, hereby grants, bargains,
<br />sells, conveys and confirms unto the Grantee and its successors and assigns forever, all the real property, together with any
<br />improvements thereon, located in the County of BENT and State of Colorado, described as follows.
<br />The Northwest 114 of Section 35, Township 22 South, Range 50 West of the 6th P.M., EXCEPT the Southeast 1/4 of
<br />the Southeast 114 of the Southwest 114 of the Northwest 114 of Section 35, Township 22 South, Range 50 West of the 6th P.M.;
<br />AND
<br />The East 1/2 of Section 34, Township 22 South, Range 50 West of the 6'" P.M., EXCEPT the South 1/2 of the South
<br />1R of the Southeast 1/4, the South 1/2 of the North 1/2 of the Southwest 114 of the southeast 1/4 , and the South 1/2 of the
<br />Northwest 114 of the Southeast 1/4 of the Southeast IA of Section 34, Township 22 South, Range 50 West of the 6* P.M.; AND
<br />The North 1/2, the Southwest 1/4, and the West 1/2 of the Southeast 1/4 of Section 29, Township 22 South, Range 49
<br />West of the 6`" P.M., Except 2.32 acres, more or less, lying in the Northeast 114 of Section 29, Township 22 South, Range 49
<br />West of the 6"' P.M., described in Warranty Deed dated October 27,1937, and recorded October 27, 1937, in Book 192 at Page
<br />265 of Ben County, Colorado, records, and EXCEPT that part of the Northwest 1/4 of Section 29, Township 22 South, Range
<br />49 West of the 6* P.M., lying and situate North of the North right of way line of the highway designated as U.S. Highway 50 as
<br />It existed November 21, 1977; AND
<br />The East 112 of the Southeast 1/4 of Section 30, Township 22 South, Range 49 West of the 6`h P.M.; AND
<br />A tract of land more particularly described as the East 217 feet of the Northwest 1/4 of the Southeast 1/4 of Section
<br />29, Township 22 South, Range 49 West of the 6"' P.M., Bent County, Colorado, consisting of 6.5758 acres, more or less,
<br />TOGETHER with all minerals and mineral rights in, under, and upon the above described real property, with the
<br />exception of an undivided one -half interest in and to all minerals and mineral right in, under and upon the Northwest 1/4 of
<br />Section 29, Township 22 South, Range 49 West of the 6" P.M.
<br />TOGETHER with all and singular the hereditaments and appurtenances thereunto belonging, or in anywise appertaining,
<br />the reversions, remainders, rents, issues and profits thereof, and all the estate, right, title, interest, claim and demand whatsoever of the
<br />Grantor, either in law or equity, of, in and to the above bargained premises, with the hereditaments and appurtenances;
<br />TO HAVE AND TO HOLD the said premises above bargained and described, with the appurtenances, unto the Grantee
<br />and its successors and assigns forever.
<br />The Grantor, for the Grantor and the Grantor's heirs and assigns, does covenant, grant, bargain, and agree to and wish the
<br />Grantee and its successors and assigns: that at the time of the ensealing and delivery of these presents, the Grantor is well seized of the
<br />premises above described; has good, sure, perfect, absolute and indefeasible estate of inheritance, in law and in fee simple; and has
<br />good right, full power and lawful authority to grant, bargain, sell and convey the same in manner and form as aforesaid; and that the
<br />same arc free and clear from ail former and other grants, bargains, sales, liens, taxes, assessments, encumbrances and restrictions of
<br />whatever kind or nature soever, except and subject to: Oil and Gas lease filed in the Office of the County Recorder at 20120086 and
<br />20120762; Agreement end Modification Agreement filed in the Office of the County Recorder at
<br />And the Grantor shall and will WARRANT AND FOREVER DEFEND the above described premises, but not any
<br />adjoining vacated street or alley, if any, in the quiet and peaceable possession of the Grantee and its successors and assigns, against all
<br />and every person or persons claiming the whole or any part thereof.
