<br />GENERAL ASSIGNMENT
<br />LARRY LEFFINGWELL, an individual ( "Assignor "), for and in consideration of the
<br />amounts paid by GOLD BASIN MINE LLC, a Colorado limited liability company ( "Assignee "), the
<br />receipt and sufficiency of which is hereby acknowledged, does hereby assign and transfer to
<br />Assignee all of Assignor's right, title and interest, if any, in and to all of the following (collectively,
<br />"Assigned Rights ") relating to the real property ( "Property ") described on Exhibit A attached hereto
<br />and the operations conducted thereon: (a) all governmental permits, licenses, authorizations,
<br />variances, entitlements, approvals, reclamation bonds and other cash and monetary deposits, and /or
<br />certificates required or desirable for the ownership and operation of the Property issued by any
<br />federal, state, local, municipal or other governmental or quasi - governmental authorities or
<br />jurisdictions; (b) all construction, engineering and architectural contracts, guaranties and warranties;
<br />(c) all rights and claims of Assignor, whether matured, contingent or otherwise against third parties
<br />relating to the Property; (d) all books, records, files, reports, plans and specifications, and
<br />environmental, engineering, soils and other tests and reports relating to the Property; (e) all well
<br />rights, water stock and other water rights, including, without limitation, 10 c.f.s. pursuant to that
<br />certain Water Right Ruling recorded on September 23, 1996 at Reception No. 287171 in the office of
<br />the Clerk and Recorder of Chaffee County, Colorado; and (f) all other intangible personal property of
<br />Seller relating to the Property or the operations conducted thereon.
<br />Assignor, for itself and its successors and assignees covenants to Assignee and its executors,
<br />administrators, successors, and assignees that Assignor is the lawful owner of the Assigned Rights
<br />and that Assignor has the right to assign and transfer the same as aforesaid, and Assignor warrants
<br />title to the Assigned Rights. Assignor shall execute and deliver, at its expense, such further
<br />instruments of conveyance, sale, assignment or transfer, and shall take, or cause to be taken, such
<br />further actions as Assignee shall request from time to time in order to perfect, confirm or evidence
<br />Assignee's title to all or any part of the Assigned Rights intended to be conveyed, sold, assigned or
<br />transferred to Assignee under this General Assignment.
<br />IN WITNESS WHEREOF, Assignor has executed this General Assignment as of the
