<br />BILL OF SALE
<br />LARRY LEFFINGWELL,an individual ( "Seller"), for and in consideration of the amounts paid
<br />by GOLD BASIN MINE LLC, a Colorado limited liability company (`Buyer"), the receipt and
<br />sufficiency of which is hereby acknowledged, does hereby grant, bargain, sell, transfer, and deliver unto
<br />Buyer, its executors, administrators, successors, and assignees, any and all equipment, machinery,
<br />supplies, tools, vehicles and other personal property of Seller (collectively, the "Personal Property') used
<br />in connection with or related to the real property described on Exhibit A attached hereto and the
<br />operations conducted thereon, including, without limitation, the Personal Property described on Exhibit B
<br />attached hereto.
<br />TO HAVE AND HOLD the same unto Buyer, its executors, administrators, successors, and
<br />assignees forever;
<br />AND DOES FOR SELLER AND SELLER'S SUCCESSORS AND ASSIGNEES covenant to
<br />Buyer and its executors, administrators, successors, and assignees that Seller is the lawful owner of the
<br />Personal Property and that Sellerhas the right to sell the same as aforesaid, and Sellerwarrants title to the
<br />Personal Property. Seller shall execute and deliver, at its expense, such further instruments of
<br />conveyance, sale, assignment or transfer, and shall take, or cause to be taken, such further actions as
<br />Buyer shall request from time to time in order to perfect, confirm or evidence Buyer's title to all or any
<br />part of the Personal Property intended to be conveyed, sold, assigned or transferred to Buyer under this
<br />Bill of Sale. f`
<br />IN WITNESS WHEREOF, Seller has executed this Bill of Sale as of the day of October,
