<br />THIS WARRANTY DEED is made this __ day of October, 2013, by and between LARRY
<br />LEFFINGWELL, an individual ( "Grantor "), whose address is c% Simpson Estates, Inc., 30 North LaSalle
<br />Street, Suite 1232, Chicago, Illinois 60602, and GOLD BASIN MINE LLC, a Colorado limited liability
<br />company ( "Grantee "), whose address is c/o Simpson Estates, Inc., 30 North LaSalle Street, Suite 1232,
<br />Chicago, Illinois 60602.
<br />WITNESS, that Grantor, for and in consideration of the sum of Ten and 00/100 Dollars ($10.00),
<br />and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
<br />hereby grants, bargains, sells and conveys unto Grantee all of the real property described on Exhibit A,
<br />attached hereto and incorporated herein by this reference, together with all buildings, structures, fixtures
<br />and other improvements located thereon ( "Property").
<br />TOGETHER with all and singular the rights, tenements, hereditaments, easements, appendages,
<br />ways, privileges and appurtenances, if any, thereto belonging, or in any wise appertaining, all water
<br />rights, mineral, oil and gas rights, and the reversion and reversions, remainder and remainders, rents,
<br />issues and profits thereof; and all the estate, right, title, interest, and claim of the Grantor, either in law or
<br />in equity, of, in and to the Property.
<br />This Warranty Deed is executed by Grantor and title to the Property is accepted by Grantee
<br />subject to the liens, easements, encumbrances and other matters described on Exhibit A, attached hereto
<br />and incorporated herein by this reference (collectively, the "Permitted Exceptions").
<br />TO HAVE AND TO HOLD the said Property above bargained and described with the
<br />appurtenances, unto Grantee. Grantor, for itself, its successors and assigns, does covenant and agree that
<br />it shall and will WARRANT and FOREVER DEFEND the Property, subject to the Permitted Exceptions,
<br />in the quiet and peaceable possession of the Grantee against all and every person or person claiming or to
<br />claim the whole or any part thereof.
<br />IN WITNESS WHEREOF, this Warranty Deed is executed by Grantor as of the day and year first
<br />above written.
