All such activities on the <br />Morgan Property, whether performed by the Morgans or others, shall be subject to the <br />management, direction, and oversight by WFC. At all times WFC shall retan ultimate <br />responsibility for attaining reclamation of the Morgan Property, as provided by the <br />Mining Pertttil, as amended. If the Morgans perform contract farming they will be <br />allowed access to the Morgan Property as necessary to perform these farming and <br />reclamation related activities, as authorized by WFC. <br />a. Payment for contract farming work by the Morgans will be, (need to spell <br />out in detail). <br />b. The Morgans shall be entitled to harvest and retain all crops they produced <br />from the Morgan Property for the duration of this Agreement. <br />7, his ection/Entr ' llnformadon Requests. From time to time the Morgans shall be <br />permitted to inspect the Morgan Property or adjacent parcels controlled by WFC to the <br />extent deemed necessary to verify compliance with this Agreement or applicable law, or <br />as necessary to carry out the terms of this agreement. The Morgans will schedule such <br />inspections with WFC personnel and be accompanied by such personnel while on tie <br />property if deemed necessary by WFC. <br />a. The Morgans shall not enter other lands owned or controlled by WFC, or <br />the active alining pit at any time without advance consent of WFC. <br />b. WFC agrees, upon reasonable advance written notice, to provide to tite <br />Morgans those documents which are reasonably heeded to verify compliance with the <br />terms of this Agreement. <br />8. Dispute ltcsolution. In the event of any dispute arising under this Agreement the <br />parties shall, as a condition precedent to seeking any judicial or administrative remedies, <br />provide written notice to llae other party identifying the alleged breach or condition and <br />allowing the other a reasonable period of time, but in any event not less than five (5) <br />days, in which to cure or abate the breach. In the event that the matter is not resolved to <br />the satisfaction of all parties any party may demand mediation before a mutually selected <br />mediator. Costs of mediation shall be split equally between the Morgans and WFC. <br />9. Point of Contact/Notice. WFC designates its point of contact for purposes of this <br />agreement as — [insert] _.
