EXPLORATION AND PROSPECT DRILLING AGREEMENT <br />Made and effective as of this :3i�k day of December, 2013 ( "Effective Date ") <br />This EXPLORATION AND PROSPECT DRILLING AGREEMENT ( "Agreement"), is <br />made by and between CAMILLETTI & SONS, INC, with an address of HC 66, Box 45, <br />Milner, CO 80487 ( "LICENSOR' and TWENTYMILE COAL, LLC, with an address of 701 <br />Market Street, St. Louis, MO 63109 ("LICENSEE "). In consideration of the sum of $10.00, <br />the receipt of which LICENSOR hereby acknowledges, and in further consideration of the <br />mutual covenants set forth below, LICENSOR and LICENSEE agree as follows: <br />Exploration Rights. LICENSOR grants LICENSEE or its agents or subcontractors, <br />for the term of this Agreement, the nonexclusive right to enter the Property, from <br />time to time, to prospect for, drill, take core samples, conduct general surveying for <br />infrastructure, conduct archaeological surveys, conduct vegetation surveys, <br />excavate pits and use a hand auger to determine and verify top soil depth, and <br />otherwise take those actions LICENSEE determines are appropriate to evaluate the <br />Wolf Creek seam of coal and other minerals and strata underlying the surface of the <br />Property and the nonexclusive right to perform all studies necessary or convenient <br />to obtain governmental approvals and permits necessary for coal exploration and <br />related operations (collectively, "Exploration Rights "). LICENSEE shall first attempt <br />to exercise its Exploration Rights by using existing roads on the Property. No new <br />roads will be constructed on LICENSOR'S Property without LICENSOR'S consent, <br />however LICENSEE shall have the right to improve or enhance existing two -track <br />reads after consultation with and approval by LICENSOR. LICENSEE may move <br />equipment over and across the Property. LICENSEE will reclaim all damage to <br />Property resulting from LICENSEE's access, and, at LICENSOR's sole <br />determination, LICENSEE shall remove and /or restore any improvements made to <br />existing roads. If work is done in the winter months, LICENSEE may remove topsoil <br />and stockpile it on LISENSOR's Property and access drill sites over gravel base <br />roads added to surface by LICENSEE. <br />2. Compensation. LICENSEE shall pay LICENSOR the following amounts: <br />For each and every drill hole on the Property, LICENSEE shall pay LICENSOR the <br />sum of $9000. Payment for each drill hole site shall be made to LICENSOR within <br />thirty (30) days of LICENSEE accessing the subject drill hole site. In the event a <br />hole is not drilled, no payment shall be due. Payment for each drill hole site shall be <br />considered full compensation for all damages caused by such drilling operation, <br />except that LISSENSEE will reclaim any damage to LICENSOR's Property as a <br />result of access to the drill sites permitted hereunder. <br />3. Indemnity and Insurance. LICENSEE shall fully indemnify, defend and hold <br />LICENSOR free and harmless against any and all claims, damages, loss and <br />expense, including attorney's fees and other legal expenses, by reason of any <br />breach of this Agreement by LICENSEE and by reason of any liability imposed or <br />claimed to be imposed by law upon the LICENSOR for damage because of bodily <br />
