<br />SPECIAL WARRANTY DEED
<br />THIS SPECIAL WARRANTY DEED, made this 9's day of February, 2012, between GUNNISON
<br />VALLEY PARTNERS, LLC, a Colorado limited liability company, whose legal address is 2 North Cascade
<br />Avenue, Suite 1280, Colorado Springs, CO 80903 ( "Grantor ") and GUNNISON VALLEY PROPERTIES, LLC, a
<br />Colorado limited liability company, whose legal address is c/o Byron Chrisman, Chrisman Commercial, 864 W.
<br />South Boulder Rd., Louisville, CO 80027 ( "Grantee "):
<br />WITNESSETH, that the Grantor, for and in consideration of the sum of Ten and NO /100 Dollars ($10.00),
<br />the receipt and sufficiency of which is hereby acknowledged, has granted, bargained, sold grid conveyed, and by
<br />these presents does grant, bargain, sell, and convey unto the Grantee, its successors and assigns forever, all the real
<br />property, together with improvements, if any, situate, lying and being in the County of Gunnison, State of Colorado,
<br />as described as follows:
<br />See Exhibit "A" attached hereto and by this reference incorporated herein.
<br />TOGETHER with all and singular, the hereditaments and appurtenances thereto belonging, or in anywise
<br />appertaining, and the reversion and reversions, remainder and remainders, rents, issues and profits thereof; and all
<br />the estate, right, title, interest, claim and demand whatsoever of the Grantor, either in law or equity, of, in and to the
<br />above bargained premises, with the hereditaments and appurtenances unto the Grantee and its successors and assigns
<br />forever.
<br />TO HAVE AND TO HOLD the said premises above described, with the appurtenances, unto the Grantee,
<br />its successors and assigns forever. And the Grantor, for itself, its successors and assigns, does covenant, grant,
<br />bargain and agree to and with the Grantee, its successors and assigns, that at the time of the ensealing and delivery
<br />of these presents, it is well seized of the premises above conveyed, as of good, sure, perfect, absolute and
<br />indefeasible estate of inheritance, in law, in fee simple, and has good right, full power and lawful authority to grant,
<br />bargain, sell and convey the same in nianner and form as aforesaid, and that the same are free and clear from all
<br />former and other grants, bargains sales, liens, taxes, assessments, encumbrances and restrictions of whatever kind or
<br />nature soever.
<br />The Grantor shall and will WARRANT AND FOREVER DEFEND the above bargained premises in the quiet and
<br />peaceable possession of Grantee, its successors and assigns against all and every person or persons lawfully
<br />claiming or to claim the whole or any part thereof, by, through or under Grantor, subject to those matters of record
<br />as of the date of this deed. The singular number shall include the plural, the plural the singular, and the use of any
<br />gender shall be applicable to all genders.
<br />This Deed is an absolute conveyance, the Grantor having sold said land to the Grantee for a fair and adequate
<br />consideration, such consideration, in addition to that above recited, being; partial satisfat tioa of all obligations
<br />secured by the Deed of Trust dated April 4, 2006 executed by Grantor for the benefit of U.S. Bank National
<br />Association, formerly First Community Bank, successor in interest to heritage Bank, and recorded on April 19,
<br />2006 in the real property records of the Clerk and Recorder of Gunnison County, Colorado at Reception No.
<br />564495, as it has been amended or modified from time to time.
<br />The Grantor declares that this conveyance is freely and fairly made, and that there are no agreements, oral or
<br />written, other than this Deed between Grantor and Grantee with respect to said land.
<br />This conveyance is made pursuant to the terns of that certain Agreement for Deed in Lieu of Foreclosure dated
<br />February 9, 2012 by and among Grantor, Schuck Gunnison, LLLP, Schuck Colorado, LTD., L. Richard Bratton,
<br />Stephen M. Schuck, William D. Schuck, and Grantee.
