interests, liabilities, duties and/or obligations under the Permit. Assignor hereby indemnifies and <br />to hold Assignee harmless from and against any and all liability, cost or expense, claim, demand <br />or the like arising prior to the date of the Lease relating to Assignor's rights, interests, liabilities, <br />duties and/or obligations under the Permit. <br />5. Binding Effect. This Assignment shall be binding upon and inure to the benefit <br />of the Parties hereto and their permitted successors and assigns. <br />6. Enforcement. In the event of any dispute between Assignor and Assignee arising <br />out of the obligations of the Parties under this Assignment or concerning the meaning or <br />interpretation of any provision contained herein, the losing party shall pay the prevailing party's <br />costs and expenses of such dispute, including reasonable attorneys' fees and costs. <br />7. Governing Law. This Assignment is to be governed by and construed in <br />accordance with the laws of the State of Colorado. <br />8. Counterparts. This Assignment may be executed in counterparts and shall <br />constitute one agreement binding on all parties notwithstanding that all parties are not signatories <br />to the original or the same counterpart, provided that all parties are furnished a copy or copies <br />thereof reflecting the signature of all parties. Executed copies hereof may be delivered by <br />telecopy or electronic delivery and, upon receipt, shall be deemed originals and binding upon the <br />parties hereto. Without limiting or otherwise affecting the validity of executed copies hereof that <br />have been delivered by telecopy or electronic delivery, the parties will deliver originals as <br />promptly as possible after execution. <br />9. Definition. Any term which is capitalized, but not defined in this Assignment, <br />which is capitalized and defined in the Lease shall have the same meaning for purposes of this <br />Assignment as it has for purposes of the Lease. <br />[Signature Page follows] <br />
