Assignor hereby indemnifies and to hold Assignee harmless from and against any and all liability, cost or expense, claim, demand or the like arising prior to the date of the Lease relating to Assignor's rights, interests, liabilities, duties and/or obligations under the Permit. 5. Binding Effect. This Assignment shall be binding upon and inure to the benefit of the Parties hereto and their permitted successors and assigns. 6. Enforcement. In the event of any dispute between Assignor and Assignee arising out of the obligations of the Parties under this Assignment or concerning the meaning or interpretation of any provision contained herein, the losing party shall pay the prevailing party's costs and expenses of such dispute, including reasonable attorneys' fees and costs. 7. Governing Law. This Assignment is to be governed by and construed in accordance with the laws of the State of Colorado. 8. Counterparts. This Assignment may be executed in counterparts and shall constitute one agreement binding on all parties notwithstanding that all parties are not signatories to the original or the same counterpart, provided that all parties are furnished a copy or copies thereof reflecting the signature of all parties. Executed copies hereof may be delivered by telecopy or electronic delivery and, upon receipt, shall be deemed originals and binding upon the parties hereto. Without limiting or otherwise affecting the validity of executed copies hereof that have been delivered by telecopy or electronic delivery, the parties will deliver originals as promptly as possible after execution. 9. Definition. Any term which is capitalized, but not defined in this Assignment, which is capitalized and defined in the Lease shall have the same meaning for purposes of this Assignment as it has for purposes of the Lease.
