15 Disputes. If arbitration or litigation occurs involving Buyer, concemmg any dispute which likewise involves an issue in dispute between Buyer and Seller, then <br />Seller, if permitted by the arbitrators or the court, shall pursue any related claim it has against Buyer solely by becoming a party to such arbitration or litigation. In <br />any event, Seller will be bound by the award or judgment in any such arbitration or litigation to the extent that the arbitrator's award or the court's judgment <br />directly or by imphcation addresses any issue in dispute between Buyer and Seller, whether or not the litigation or arbitration is commenced or completed before or <br />after commencement of litigation or arbitration between Buyer and Seller on the same or related issues. Any pending litigation or arbitration between Buyer and <br />Seller shall be stayed immediately upon commencement of related proceedings between Buyer and Buyer's contracting parry. <br />All claims, disputes and other matters in question arising out of, or relating to this purchase order, or the breach thereof, shall, at the option of Buyer, be decided by <br />arbitration in accordance with Construction Industry Arbitration Rules of the American Arbitration Association then obtaining unless the parties mutually agree <br />otherwise or unless a different arbitration method is applicable under the Contract Documents At the option of Buyer, arbitration shall be consolidated with related <br />arbitration proceedings involving Buyer, Buyer's contracting party, its consultants or other contractors. The foregoing agreement to arbitrate shall be specifically <br />enforceable under the controlling arbitration law. The award rendered by the arbitrators shall be final and judgment may be entered upon it in accordance with the <br />applicable law in any court having jurisdiction thereof. <br />Unless otherwise agreed in writing subcontractor shall continue its performance hereunder durmg pendency of any disputes, as well as any litigation or arbitration <br />arising therefrom. <br />16. Claims By or Against Other Suppliers or Subcontractors. Seller agrees to make no clann and expressly waives all rights against Buyer for any act or omission <br />which is attributable to another supplier or subcontractor Should Seller have a claim against Buyer's supplier or subcontractor by reason of its acts or omissions, <br />then Seller shall make claim directly against such other supplier or subcontractor and shall be assigned and entitled to assert all rights that Buyer may have against <br />such other supplier or subcontractor to the extent required to permit Seller to pursue such claim. Said assignment shall be for the hmited and express purpose of <br />pursuing Seller's claim. <br />17. Cancellation. Buyer has the right to cancel this and any and all other orders or contracts between Seller and Buyer or to reduce the quantities of the purchase to be <br />delivered hereunder in the event of (a) a breach by Seller of any of the terms hereof, including any warranty made in connection with the purchase order hereunder <br />or (b) any allegation that the item furnished hereunder infringes any patent, trademark, or copyright, violates any statute, ordinance or admuustrative order, rule or <br />regulation or (c) cancellation or deletion of such items form items to be furnished under the Contract Documents. <br />18. Subcontract Provisions. If the items provided require the Seller to perform installation services on the project site, it is agreed that in addition to the other terms <br />of this purchase order: Seller shall perform all work, provide all labor, materials, equipment and supervision required, and assume all agreements, covenants and <br />warranties, for the work indicated; the subcontract work shall be performed by Seller as required by the Contract Documents which shall apply to Seller in the <br />same manner as they apply to Buyer, insurance requirements pertaining to Buyer under the Contract Documents shall likewise pertain to Seller; and remedies, <br />including liquidated damages, etc., which apply to Buyer under the Contract Documents, shall apply with equal force hereunder to Seller. <br />19 Waiver of Liens. Seller hereby waives releases and relinquishes all right to file any mechanic's or contractor's lien or other encumbrance against the project, the <br />real and personal property related thereto or any monies due or to become due to Buyer in reference to the project <br />20. Typed and Printed Terms. Writings added by Buyer to this purchase order form modify the printed terms and conditions. Federal aid "Required" or "Special" <br />provisions attached hereto, if any, is part of this contract. <br />21 Titles. Paragraph titles herem are for convenience and shall be disregarded in the interpretation of this purchase order. <br />22 Waiver. No waiver by Buyer of any breach of this purchase order or any other agreement by the Seller or the failure of Buyer at any tune to exercise a right or <br />pnvilege granted to it herein shall be deemed to constitute a waiver of any subsequent breach of agreement or any other right or privilege. <br />23 Governing Law. The laws of the state governing the project (without reference to its conflict of laws rules) shall govern as to all questions ansrng under this <br />purchase order <br />
