<br />
<br />THIS CONTRACT, made this 21st day of September 2001, by and between the State of
<br />Colorado for the use and benefit of the Department of Natural Resources, Colorado Water
<br />Conservation Board, hereinafter referred to as the CWCB and/or STATE, and North Fork River
<br />Improvement Association, 2917 L50 Lane, Hotchkiss, Colorado 81419, hereinafter referred to
<br />as the CONTRACTOR.

<br />FACTUAL RECITALS
<br />
<br />1, Authority exists in the law, and funds have been budgeted, appropriated and otherwise made
<br />available and a sufficient unencumbered balance thereof remains available for payment as
<br />follows: Fund Number 100, Organization YYYY, Appropriation Code SEV, GBL 2S09, Program
<br />WTRC, Object Code 5781, Contract Encumbrance No, C150084,
<br />
<br />2, Required approval, clearance, and coordination have been accomplished from and with
<br />appropriate agencies,
<br />
<br />3, CWCB's authority for making this nonreimbursable expenditure: Section 39-29-109(1 )(a), C,R.S,
<br />authorizes the CWCB to fund water resource planning at the local level from the Operational
<br />Account of the Severance Tax Trust Fund,
<br />
<br />4, The CONTRACTOR is a nonprofit organization founded in 1996 by North Fork Valley
<br />landowners with membership comprised of local citizens, governmental agencies and business
<br />groups and located in Delta County,
<br />
<br />5, The CONTRACTOR applied for a grant from the CWCB for the purpose of developing a
<br />channel design for the North Fork River, The goals of the channel design will include
<br />reproducing natural river morphology and encouraging long-term natural processes to maintain
<br />channel stability and reduce excessive bank erosion; stabilizing outside bends of the channel,
<br />reconstruct an existing irrigation diversion; providing public access to the river; improving water
<br />quality and educating the public on local water shed restoration opportunities and techniques,
<br />hereinafter referred to as "Project."
<br />
<br />6, At its March 2001, meeting, the CWCB approved a nonreimbursable expenditure for the
<br />PROJECT to the CONTRACTOR in an amount up to $50,000, not to exceed 100% of the cost of the
<br />PROJECT.
<br />
<br />NOW THEREFORE, in consideration of the mutual and dependent covenants contained
<br />herein, the parties agree as follows:
<br />
<br />A. Performance of PROJECT, The CONTRACTOR shall perform the PROJECT in accordance with the
<br />Scope of Services attached as Appendix 1 and incorporated herein
<br />
<br />B. Time of performance. The CONTRACTOR recognizes that time is of the essence in the
<br />performance of its obligations under this contract. Therefore, the CONTRACTOR shall be
<br />responsible for the completion of the tasks listed in the PROJECT Scope of Services on or before
<br />June 30, 2002,
