The estimated total cost
of the project is $124,000. Please see the attached project summary and map.

Back~round
The GIC, located in Garfield County, operates the Glenwood Ditch for the benefit of the
shareholders by providing direct flow irrigation water to a 750-acre service area. The Glenwood
Ditch diversion and headgate are located on the Roaring Fork River, about 2 miles north of
Carbondale. The existing delivery system consists of a combination of unlined ditch and pipeline
segments. The ditch was constructed about 1900 and the pipeline section in the 1960s and
1970s. Significant annual maintenance is needed to keep the diversion operating, and there is a
danger the diversion will fail completely during the next runoff season.

The GIC needs to rehabilitate the diversion and headgate as soon as possible and has tentatively
scheduled the work to be completed in fall 2001. If the project is not completed in fall 2001, the
diversion could easily fail in spring 2002 and make it impossible for the Company to divert water
for its shareholders. The Company is eligible for a loan from the Small Project Loan Account,
since delaying construction until summer or fall 2002 would result in a hardship on the Borrower.

Feasibilitv Studies
Dennis Davidson and Mike Kishimoto of the Glenwood Springs NRCS have completed the
feasibility study using information provided by the GIC. The study includes an assessment of
alternatives available for rehabilitation of the Glenwood Ditch diversion and headgate.

The Glenwood Irri~ation Company
The GIC is a mutual ditch company and a non-profit corporation registered in the State of
Colorado, There are 69 shareholders and 1500 shares of stock. The GIC has the power to set
annual assessments to be paid by the shareholders, the power to cut off water deliveries to
shareholders that fail to pay their assessments, and the power to acquire and sell the shares of
delinquent shareholders.

Flood Protection.
