Based upon such <br /> examination, and such research and investigation as I have deemed necessary, I am of the <br /> opinion that: <br /> 1. The District is a political subdivision of the State of Colorado duly organized and <br /> existing under the provisions of the Constitution and the State of Colorado. <br /> 2. The District duly adopted a Resolution on June 4, 2017, authorizing the District to <br /> enter into the Loan Agreement, and, since its adoption, the Resolution has not been rescinded or <br /> modified in any respect. <br /> 3. The Loan Agreement and all terms and provisions thereof are authorized by the <br /> Constitution, laws and regulations of the State of Colorado, and the District has the power and <br /> authority to enter into the transactions contemplated by the Loan Agreement and to carry out its <br /> obligations thereunder. <br /> 4. The Loan Agreement have been duly authorized, executed and delivered by the <br /> District in accordance with all applicable laws, rules, regulations and policies. <br /> 5. Execution of the Loan Agreement documents will not violate any law, agreement, or <br /> restriction by which the District is bound; except that I express no opinion as to the effect of <br /> TABOR on this loan. <br /> Sincerely, <br /> Aaron R.
