CWCB Loan <br /> Farmers Reservoir and Irrigation Company <br /> Dear Mr.McWilliams: <br /> Regarding the above CWCB loan to the Farmers Reservoir and Irrigation Company I state as <br /> follows. I am the General Counsel for the Farmers Reservoir and Irrigation Company. In that <br /> capacity I have reviewed the CWCB loan documents, the resolutions of the Board of Directors and <br /> the shareholders, the articles of incorporation and the by-laws of the Farmers Reservoir and <br /> Irrigation Co. <br /> From such review,it is my opinion that: <br /> a. the contract has been duly executed by officers of the Farmers Reservoir and Irrigation Co. <br /> who are duly elected or appointed and are authorized to execute the contract and to bind <br /> the Farmers Reservoir and Irrigation Co.; <br /> h. the resolutions of the Farmers Reservoir and Irrigation Co. authorizing the execution and <br /> delivery of the contract were duly adopted by the Farmers Reservoir and Irrigation Co. <br /> board of directors and/or stockholders <br /> c. there are no provisions in the Farmers Reservoir and Irrigation Co. articles of incorporation <br /> or bylaws or any state or local law that prevent this contract from binding the Farmers <br /> Reservoir and Irrigation Co.; and <br /> d. the contract '11 be valid and binding against the Farmers Reservoir and Irrigation Co. if <br /> Bred into- the CWCB. <br /> / <br /> e, ,n / <br /> o o.
