Dear John:

Following our conversation Tuesday, I am writing to support the loan appli;~ation before
the Colorado Water Conservation Board from our client, Blue Lake Homeowners ~sociation,
for a raw water irrigation system. As water counsel for Blue Lake Homeowners A:;;sociation, we
have the following information concerning water rights to be used by our client for !operation of
the raw water irrigation system.

The developer of the Blue Lake P.UD., Vantex Enterprises, Inc. ("Vantex'1), has agreed
to assign to the Blue Lake Homeowners Association, 10.5 shares of Robinson Ditch Company
stock which have been historically used to irrigate 12.6 acres ofland which is now within the Blue

Lake P. UD. Likewise, Vantex has agreed to assign 2, 199 shares of Harris & Reed Ditch
Company stock to the Blue Lake Homeowners Association. Of these 2,199 shares) 1,380 shares
are dedicated to augmenting water use from Blue Lake and Blue Pond. The remaihing 819
shares have been historically used for the irrigation of 19 acres which is now within: the Blue Lake
P. UD. Therefore, Blue Lake Homeowners Association will control shares in both :the Robinson
I
Ditch and the Harris & Reed Ditch companies sufficient to irrigate 3 1.6 acres withill Blue Lake

P. UD. without the necessity for filing a change of water right application with the Water Court,

In addition to the shares of Robinson and Harris & Reed Ditch stock, VantJx has agreed
to convey, by quit claim deed, to the Blue Lake Homeowners Association 8 acre fe~t of storage in
Blue Pond conditionally decreed in Case No. 90CW137 for aesthetic, piscatorial, a~gmentation,
replacement, exchange, and recreation uses. While the conditional water right for the Blue Pond
is not decreed for irrigation purposes, Blue Lake Homeowners Association could t~e the
appropriate steps to allow this structure to be used for irrigation purposes. Finall)j', Vantex has
agreed to assign to Blue Lake Homeowners Association its Water Allotment Contract with the
Basalt Water Conservancy District for 12 acre feet to be released from storage in Ruedi Reservoir
for operation of the Plan for Augmentation decreed in Case No. 90CW137.
