Re: Salinity Control Program Update and Finalization of Contracts

Dear Shareholder:

As you know, Grand Valley Irrigation Company
has negotiated with the Bureau of Reclamation for
many months to reach forms of agreements for con-
struction and operation and maintenance of salinity
control improvements for Grand Valley Irrigation
Company lateral ditches. This process has recently
concluded resulting in two written documents, con-
sistingofCooperative AgreementN 0.1- FC-40-10950
for Construction of Salinity Improvements on the
Ditch and Lateral Systems within Grand Valley Irri-
gaiion Company's Service Area (Construction Agree-
ment) and Contract Between the United States of
America and Grand Valley Irrigation Company for
Rehabilitation, Operation, Maintenance and Replace-
ment, Grand Valley Unit, Stage n, Colorado River
Basin Saliniiy Control Project (Operation and Main-
tenance Agreement).

Both agreements will be submitted for sharehold-
ers approval at a special meeting on July 20, 1991.
Also, ammendments to the Articles of Incorporation
will be proposed that authorize GVIC to enter into
these agreements. On June 22, 1991 from 1 to 4 pm,
at the City Auditorium of the City of Grand Junction
and onJune29, 1991 from 1 to4pm. atthe FruitaClty
Hall, Grand Valley Irrigation Company will hold in-
formational open houses to discuss the agreements.
It is hoped that the open houses will answer any ques-
tions and provide shareholders with an understand-
ing as to the important provisions of the agreements.

Both agreements are available for your review at
Grand Valley Irrigation Company's office. If you
wish, we will provide you with your own copy of the
agreements. Grand Valley Irrigation Company is
also providing to each shareholder, along with this
letter, a Summary of Agreements. Grand Valley
Irrigation Company has addressed a number of ques,
tions and issues that have been raised over the past
several years in the Common Questions and Answers
section of this Report.

The board of directors of Grand Valley Irrigation
Company urges each of you to take the time to
familiarize yourself with the important provisions of
the Construction Agreement and the Operation and
Maintenance Agreement and invites your participa-
tion in the open houses and the special shareholder
meeting where the important issue of Grand Valley
Irrigation Company's participation in the Salinity
Control Program will be discussed and determined.
