Dear Mr. Sparks:

In accordance with contract we have completed a personal inspection
and analysis of the proposed Narrows site situated primarily in Morgan
County, Colorado and the proposed Weld County site situated in Weld County,
Colorado.

The purpose of our inspection and analysis is to provide a prelimi-
nary opinion of value of land and rights that would be acquired for each of
the sites. This includes the acquisition in fee of land for the dam sites and
reservoirs, flood easements adjacent to the fee taking and severance
damages accruing to remainders because of the partial taking of various
parcels. Our estimate of value includes land and improvements.

Based on our investigation and analysis, supported by the pertinent
data set forth in this report, it is our opinion that the current market value
of land, improvements and rights in the hereinafter described Narrows site,
as of the date of this report. is Five Million Seven Hundred Eighty-Seven
Thousand Dollars ($5, 787,000).

Our opinion of value of the hereinafter described Weld County site
is Three Million Seven Hundred Fifty Thousand Dollars ($3.750,000).

Value assigned the above described properties is subject to the
Assumptions and/or Conditions set forth-on Pages Two (2) and Three (3)
of this report.
