<br />.' <br /> <br />(3) Termination. - The terminat ion of a cooper at ive agreement <br />means the cancellation of Federal assistance, in whole or in part, <br />under a cooperative agreement at any time prior to the date of <br />comp 1 et ion. <br /> <br />(4) Suspension. - The suspension of a cooperative agreement is <br />an action by a Federal Agency which temporarily suspends Federal <br />assistance pending corrective action by the recipient or' pending a <br />decision to terminate the cooperative agreement by the Federal <br />agency. <br /> <br />(5) Disallowed cost. - Disallowed costs are those charges which the <br />Federal agency determines to be unallowable. (See FMC No. 74-4.) <br /> <br />b. All Federal agencies shall establish closeout procedures which <br />include the following requirements: <br /> <br />(1) Upon request, the Federal agency shall make prompt payments to <br />the recipient for allowable reimbursable costs under the cooperative <br />agreement being closed out. <br /> <br />(2) The recipient shall immediately refund to the Federal agency any <br />balance of unobligated (unencumbered) cash advanced. <br /> <br />(3) The Federal agency shall obtain from the recipient within <br />90 days after the date of completion all financial, performance, <br />and other reports required as a condition of the cooperative agreement. <br />The agency may grant extensions when requested by the recipient. <br /> <br />(4) When authorized by the cooperative agreement the Federal <br />agency shall make a settlement for any upward or downward adjustments <br />for any upward or downward adjustments to the Federal share of costs <br />after these reports are received. <br /> <br />(5) In the event a final audit has not been performed prior to <br />the closeout of the cooperative agreement, the Federal agency <br />shall retain the right to recover an appropriate amount after <br />fully considering the recommended disallowed costs resulting from the <br />final audit. <br /> <br />c. All Federal agencies shall provide procedures to be followed <br />~~en a recipient has failed to comply with the award stipulations, <br />standards, or conditions. When that occurs, the Federal agency may, on <br />reasonable notice to the recipient, suspend the cooperative agreement, <br />and withhold further payments, or prohibit the recipient from incurring <br />additional obligations of funds, pending corrective action by the <br />recipient or a decision to terminate in accordance with paragraph d. <br />The Federal agency shall allow all necessary and proper costs which the <br />recipient could not reasonably avoid during the period of suspension <br />provided that they meet the provisions of FMC No. 74-4. <br /> <br />d. Federal agencies shall provide for the systematic settlement <br />of terminated cooperative agreements including the following: <br /> <br />9 <br />
