The Articles of the Company be amended as <br /> <br />recommended herein by the Board of Directors adopting <br /> <br />an appropriate resolution and the amendment to be <br /> <br />submitted to the shareholders for approval at an annual <br /> <br />or special meetingl and <br /> <br />4. The Bylaws and Rules be amended by <br /> <br />appropriate resolution and action of the Board as <br /> <br />recommended herein. <br /> <br />Once the foregoing actions have been taken, then it is our <br /> <br />opinion that the Company will have legal authority and power to <br /> <br />acquire such real property interests in the laterals under its <br /> <br />system and to do such other things as would enable it to contract <br /> <br />for the construction and long-term operation and maintenance of <br /> <br />the improved laterals under the Salinity Control Act. <br /> <br />35 <br />
