S 1571, et ~. <br /> <br />B. Amendments to Orqanizational Documents. <br /> <br />1. Overall Approach. <br /> <br />The essential purpose of the recommended amendments to <br /> <br />organizational documents is to enlarge the purpose of the Company <br /> <br />to include salinity control measures. Secondarily, and what may <br /> <br />properly be termed housekeeping, two categories of amendments are <br /> <br />proposed. One category is to make the provisions of the Articles <br /> <br />and Bylaws consistent, or at least not conflicting. <br /> <br />The other <br /> <br />category is to include appropriate references to the Kiefer <br /> <br />Extension Ditch and the Fruita Land & Canal Company that were not <br /> <br />included at the time of the merger of Fruita Land & Canal Company <br /> <br />into the Company. We consider it necessary to include references <br /> <br />to the Kiefer Extension Ditch in the Articles a~d Bylaws in order <br /> <br />to make certain the powers of the Company as to the Kiefer <br /> <br />Extension Ditch. For convenience of reference, appended to this <br /> <br />report is the Consolidated Articles of Incorporation of The Grand <br /> <br />Valley Irrigation Company, together with the Bylaws, Rules and <br /> <br />History of Adjudication, which we have type,vritten from the <br /> <br />booklet kept by the Company and made available to its <br /> <br />shareholders. <br /> <br />30 <br />
