<br />9.3 Neither this Agreement nor any of the rights granted by it may be assigned or <br />transferred by User. This restriction on assignments or transfers shall apply to <br />assignments or transfers by operation of law, as well as by contract, merger, or <br />consolidation. Any attempted assignment or transfer in derogation of this prohibition is <br />void. <br /> <br />9.4 This Agreement shall be governed by the internal laws of the State of Colorado. <br /> <br />9.5 The exclusive jurisdiction and venue for any lawsuit between the parties arising out <br />of this Agreement shall be the District Court for the County of <br />Colorado. <br /> <br />9.6 IT any provision of this Agreement is detennined to be invalid or unenforceable, the <br />remaining provisions of this Agreement shall continue to be valid and enforceable. <br /> <br />9.7 User shall be responsible for payment of all taxes, fees, assessments, or levies on <br />the items covered by this Agreement or arising out of or imposed by reason of the <br />transactions contemplated by this Agreement <br /> <br />9.8 Paragraphs 4, 5, 6,7, and 8 of this Agreement shall survive the expiration or <br />tennination of this Agreement <br /> <br />9.9 Subject to the provisions of paragraph 9.3, this Agreement shall be binding upon, <br />and shall inure to the benefit of, the successors and assigns of Agency and User. <br /> <br />9.10 User agrees that Agency has the right to modify or discontinue the Database at any <br />time whatsoever, without prior written notice to User. In the event the database is modified <br />or discontinued, Agency shall have no obligation to modify, replace, or make any refund <br />with respect to any copy of the Database previously delivered to User.
