<br />1.5 The term of this License shall continue for one (1) year from the date of this <br />AgreemenL The term may be extended for successive periods of not more than one (I) <br />year each, upon execution of a written amendment to this Agreement and payment by User <br />of the license fee provided for in paragraph 3.2. <br /> <br />2.0 Deliverv <br /> <br />2.1 Agency shall have User's copy of the Database ready for delivery to User not later <br />than fifteen (15) working days following the effective date of this AgreemenL User is <br />responsible for all shipping, insurance and related charges, and risk of loss or damage shall <br />transfer from Agency to User upon delivery by Agency to User or to a common carrier for <br />delivery to User. <br /> <br />2.2 Agency shall in no event be liable for any damages or penalty for delay in delivery, <br />or for failure to give notice of delay in delivery. <br /> <br />3.0 Pavment bv User <br /> <br />3.1 User shall pay an annual license fee for the use of the Database. The amount of the <br />license fee shall be determined by Agency. The initial license fee shall be paid prior to <br />delivery of the Database to User. <br /> <br />3.2 Payment of the license fee for the extension of the term shall be made upon the <br />execution of the Amendment to this Agreement provided for in paragraph 1.5, above. <br /> <br />3.3 All payments due hereunder shall be made in inunediately available funds. <br /> <br />40 Re!\triction!\ on Use <br /> <br />4.1 User shall not disclose, publish, sell, assign, lease, sublicense, market or transfer <br />the Database or any portion thereof. User shall not use the Database to operate a service <br />bureau, nor shall the User engage in any processing of the Database for other persons or <br />entities. User shall not use the Database in any manner or for any purpose not expressly <br />authorized by this Agreement <br /> <br />4.2 The Database may be used only with a single central processing unit at anyone <br />time. <br /> <br />4.3 User shall not alter, augment, or remove any copyright notice or other <br />restrictive legend contained in or on the Database. <br /> <br />4.4 User is authorized to make a maximum of two (2) copies of the Database in <br />nonprinted, machine-readable fonn solely to the extent necessary for backup or archival <br />purposes, provided no more than one (1) copy of the Database may be in use at any time. <br /> <br />2 <br />
