It is expressly agreed by the parties that this Contract Amendment # I is supplemental to the <br />Original Contract Number C153869, dated August 24, 2000 which is incorporated herein by <br />reference, and all terms, conditions, and provisions thereof, unless specifically modified herein, are <br />to apply to this amendment as though they were expressly rewritten, incorporated, and included <br />herein. <br /> <br />3. The Contractor agrees to perform the tasks set forth in the revised Scope of Work (Exhibit "A") per <br />the revised schedule contained therein, and the State agrees to pay fees to contractor in an amount <br />not exceed $200,000 for said work. <br /> <br />4. It is expressly agreed the Original Contract is and shall be modified, altered, and changed in the <br />following respects only: <br /> <br />a. Article 1. Scope of Work is modified to reflect a revised Scope of Work (Exhibit "A") <br />dated August I, 200 I. Otherwise, Article I is unchanged. <br /> <br />b. Article 2. Compensation is modified to read, " In consideration for the performance of said <br />work and services, Principal Representative agrees to pay to Consultant fees and charges not to <br />exceed two hundred thousand dollars zero cents ($200,000). .. .". <br /> <br />c. Article 4. Agreement Expiration is unchanged (It is anticipated that the Contractor will now <br />complete the SPDSS Project Feasibility Study on or about November 30, 2001). <br /> <br />5. The effective date of the Amendment is the date of approval by the State Controller or his designee. <br /> <br />6. Except for the "Special Provisions", in the event of any conflict, inconsistency, variance, or <br />contradiction between the provisions of this Contract Amendment # I or any of its attachments or <br />exhibits, and any of the provisions of this amendment shall in all respects supersede, govern, and <br />control. The "Special Provisions" shall always be controlling over other provisions in the contract <br />or amendments. The factual representations in the Special Provisions concerning the absence of <br />bribery or corrupt influences and personal interest of State employees are presently reaffirmed. <br /> <br />7. FINANCIAL OBLIGATIONS OF THE STATE PAYABLE AFTER THE CURRENT FISCAL <br />YEAR ARE CONTINGENT UPON FUNDS FOR THAT PURPOSE BEING APPROPRIATED, <br />BUDGETED, AND OTHER WISE MADE AVAILABLE. <br /> <br />8. THIS AMENDMENT SHALL NOT BE DEEMED VALID UNTIL IT SHALL HAVE BEEN <br />APPROVED BY THE CONTROLLER OF THE STATE OF COLORADO OR SUCH <br />ASSISTANT AS HE MA Y DESIGNATE. <br /> <br />Page 2 of 3 Pages <br />
