It is <br />our opinion that: 1) the persons signing the Contract for the District and the Borrower were duly <br />appointed as members of their representative Boards and elected by the Boards to their offices, and <br />have authority to sign such documents on behalf of the District and the Borrower and to bind the <br />District and the Borrower; 2) the Boards of Directors of the District and the Borrower have validly <br />adopted resolutions approving the execution and delivery of this Contract; 3) there are no provisions <br />in the Colorado Constitution, any state or local law, or the District's decree of formation or the <br />resolution creating Borrower that prevent the Contract from binding the District; and 4) the Borrower; <br />and that the Contract will be valid and binding against the District and the Borrower when entered into <br />by the State. <br /> <br />Sincerely, <br /> <br />MAYNES, BRADFORD, SHIPPS & SHEFfEL, LLP <br /> <br />~ <br /> <br />JanIce C.
