a. enter into and comply with the terms of the Loan Contract and the Promissory
Note for $75,000 ("Promissory Note"), attached as Exhibit "A" to the Loan Contract:

b. make annual payments to the CWCB in accordance with the Promissory Note;

c. obtain, together with the Enterprise, five (5) certificates of deposit each in the
. amount of one annual payment ($16,611.1 0) under the Loan Contract and Promissory Note as
security for the Loan, and

d. instruct the Enterprise to repay this loan to the CWCB; and

3. approves:

a. having the Study prepared in accordance with a scope of work prepared by
Steve Harris, P.E., consulting engineer ("Scope of Work"). The CWCB has reviewed and
approved said Scope of Work; and

b. providing the CWCB with two (2) copies of the final report of the Study,
prepared in compliance with the Scope of Work, within two (2) years of the date of the execution
of the Loan Contract unless the CWCB agrees in writing to an extension of such time.

4. The District warrants thatboth the Boards of Directors of both the District and the
Enterprise have complied with the order establishing the Enterprise under C.R.S. S 37-45-112
and all statutory and other legal requirements; and

5. The Board of Directors specifically agrees that this resolution shall be irrepealable for
the term of the Loan Contract.
