WATER ACTIVITY ENTERPRISE FUND

WHEREAS. the Board Qf Directors of the Mancos Water Conservancy District (the
"District") hereby finds, determines, and declares that it is necessary and desirable to
ratify the District's establishment in 1992. during the budget process for fiscal year 1993,
of the Mancos Water Conservancy District Water Activity Enterprise Fund; and

WHEREAS, S.B. 93-130 (~37-45.1-101 et sea., C.R.S., enacted into law on
March 30, 1993, clarifies the te.rms and conditions under which a water conservancy
district may establish a water activity enterprise fund.

NOW. THEREFORE, BE IT RESOLVED, that the Board of Directors of the District
hereby ratifies the establishment of Mancos Water Conservancy District - Water Activity
Enterprise, created for the purpose of pursuing and continuing water activities in
connection with the Mancos Project. including water acquisition and water project facility
activities, and the construction, operation. repair. and replacement of water facilities
related tQ providing water from and through the Mancos Project; and

BE IT FURTHER RESOLVED, that, pursuant to and in accordance with Article 45.1
of Title 37, C.R.S., the governing body of the Mancos Water Conservancy District - Water
Activity Enterprise is the Board of Directors of the Mancos Water Conservancy District;
and

BE IT FURTHER RESOLVED, that the Mancos Water Conservancy District Water
Activity Enterprise is entitled to exercise all powers, authDrity, rights, and responsibilities
which are exercisable by it in accordance with Article 45.1 of Title 37, C.RS., and other
applicable law; and

BE IT FURTHER RESOLVED, that ali assets and iiabilities of the Water Activity
Enterprise shall be accounted for in the Mancos Conservancy District - Water Enterprise
Fund; and

BE IT FURTHER RESOLVED, that the Board of Directors of the District ratifies the
authorization of the transfer of assets, liabilities and contractual rights to the Mancos
Water Conservancy District - Water Enterprise Fund in accDrdance with Articie 45.1 of
Title 37, C.RS.; and

BE IT FURTHER RESOLVED, that, pursuant to & 37-45.1-106, C.RS., revenues
which are assessed and collected by the District for services in connection with providing
water from the Mancos Project, including rates, fees, or charges for each class of service
under S 37-45-123, 124, 125, and 131, C.RS., upon receipt by the District, shall be
