TO OBLIGATE THE OVERLAND DITCH AND RESERVOIR COMPANY. QqRo

WHEREAS, the Overland Ditch and Reservoir Company has secured a federal loan
under the Small Reclamation Projects Act, P.L. B4-984, as amended (Contract
No. 9-07-40-LI066 dated June 8, 1979) and a companion loan from the State of
Colorado pursuant to Title 37, Article 60, Colorado revised Statutes 1973 as
amended (Contract encumbrance No. Cl53307 dated July 1, 1979), and has
authorized its consultin9 engineers, McDermith and Schuster, to prepare design
plans and specifications for the reconstruction of the Overland Dam; and'

WHEREAS, a quorum of stockholders of the Overland Ditch and Reservoir Company
has endorsed the reconstruction of the Overland Dam at every annual meeting
for over ten (10) years, and;

WHEREAS, it is expedient that the President of the Board of Directors be
authorized to obI i gate the Overl and Ditch and Reservoi r Company by amendi ng
all or portions of the contracts mentioned above; and

WHEREAS, a quorum of the Board of Directors is not always available within the
time frame required to authorize the president of the Board to obligate the
Campa ny .

NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Overland Ditch
and Reservoir Company that the President be and is hereby authorized and
directed to obligate the Overland Ditch and Reservoir Company in the
performance of acts necessary to expedite amendments in the contracts
mentioned above or financially obligating the company in accordance with the
terms of said contracts.

BE IT FURTHER RESOLVED that copies of this resolution be transmitted to the
U.S. Department of Interior, Bureau of Reclamation and to the State of
Colorado, Colorado Water Conservation Board, for their review and comments.

PASSED, ADOPTED AND APPROVED by the Board of Directors of the Overland Ditch
and Reservoir Company at a meeting of said Board on 9,l't 7
