The Board of Directors, provided for in the Decree of Incorporation of this District, shall be appointed by the District Court and shall be residents of and owners of real property in the sUb-district from which they are chosen. Each Director shall hold office during the term for which he is appointed and until his successor is duly appointed and has qualified, and shall furnish a corporate surety bond at the expense of the District in amount and sum fixed and approved by the Court. conditioned for the faithful performance of the duties as such Director. Section 2. Vacancies. a. Any vacancy occurring in the Board of Directors shall be filled by the Court by appointment for the remainder of the term of office vacated. b. A vacancy shall be suggested to the Court to exist upon rerr.oval of a member from his, Sub-Oistrict, death, resignation, or absence without reasonable cause from all regular meetings for a period of six consecutive months. Section 3.. General Powers and Duties. The powers and dutie's of the Board of Directors shall be all those set forth in the Colorado Revised Statutes, 1973, Title 37, Article 45, as amended. In accordance with said Statutes, the Board shall have, in addition to all other powers expressly granted Or reasonably to be inferred, the power to: a. Manage the bosiness.and affa~rs of the Dis~r~ct., b. Engage and ~emove a manager, an attorney, an engineer, and such other engineers, attorneys, assistants and agents whenever, in its judgment, the best interests of the District will be served thereby, and said employees and agents shall perform such duties and exercise such authority as the Board may. from time to time, vest in them. e. Fix salaries and compensation for em.ployees appointed by the Board. d. Make and adopt such RUles and RegUlations, not inconsistent with law, as it may deem advisable for proper management of the business and affairs of the District. e. Adopt an annual budget. f. Designate by resolution such officers. agents or other employees. authorized to sign checks. drafts or other orders for 'payment of money. and the manner in which such checks. drafts and orders shall be issued. . (Amended 8-12-B7) Section 4. Meetings. a. A regular meeting of the Board of Directora shall be held monthly at such time and place as the Board of Directors may provide by reSOlution. b. Special meetinga of the Board of Dir,!ctors may be. held at any time at any place upon written, notice of the President or of a majot'ity of the Directors, given to each cUrector personally or by mail together with a telephone call to the residence of each member at least twenty-four hours prior to said meeting. If mailed. said notice shall be deemed to be delivered when deposited in the United States mail addressed to the director at his address as it appears on the District records with postage thereon paid.
