I have read the Loan Contract <br />dated May 1, 2002 between the Company and the Department of Natural Resources, <br />Colorado Water Conservation Board, with respect to a $100,000.00 loan to rehabilitate <br />the Cedar Mesa Dam. It is my opinion that Herschel G. Burgess and Robert E. <br />Phillips, as president and corporate secretary, respectively, have the authority to sign <br />all the loan documents on behalf of the Company, and to bind the Company. It is also <br />my belief that the resolutions adopted by the Company on February 23, 2002 have <br />given the president and secretary of the corporation the full authority to approve the <br />contract. There are no provisions in the Company's articles of incorporation or by- <br />laws, nor any state or local law, that prevent this contract from binding the Company, <br />and that the contract will be valid and binding against the Company if entered into by <br />the Water Conservation Board. <br /> <br />Sincerely, <br /> <br />A~~ <br /> <br />Aaron R.
